Projects
Terms & Conditions:
- A signed and dated copy of the Proposal together with a PO# must be received by Kaleidoscope to start the project.
- Production and final typesetting of the project, web, or print, shall only begin once the final manuscript, signed by the Client, is received.
- Materials & expenses (disbursements) such as FPO and final scans, proofs, couriers, electronic media, format conversions, language translations, photography, illustration, etc., not accounted for in the Proposal are extra where applicable.
- One round of revisions to the final manuscript is accounted for in the Proposal.
- Client is responsible for the final proof-reading of all materials, unless Kaleidoscope has provided the manuscript or Kaleidoscope is contracted to provide the proof reading.
- Revisions and/or changes not accounted for in the Proposal MUST be submitted in writing and will be billed as separate and extra items, according to the specific rates of the required service(s).
- Kaleidoscope is not responsible for missed deadlines due to a breech of any part of the Proposal.
- All Concepts, production layouts, presentations, dingital content, assets, code, programming, plates, printed materials, domains, data, etc., relating to this project will remain the property of Kaleidoscope (under copyright law) until final payment is received.
- Payment: to be paid in thirds: 1/3 to start; 1/3 upon approval of final files; 1/3 upon publishing or delivery.
- All taxes are extra where applicable.
- Should any invoice remain unpaid beyond the stated terms, will have an interest charge of 21/2%/mo., (30% per annum) applied to the outstanding balance together with all fees incurred in collection.

INTELLECTUAL PROPERTY & COPYRIGHT
- All content, including text, graphics, photos and video, which is provided by [Client], is owned by [Client]. All functional components, including software, and the accompanying documentation is owned by Kaleidoscope and/or it’s Partners or Associates. and is protected by Canadian copyright laws and international treaty provisions.
- Specific details may apply to specific projects
LIMITATION OF LIABILITY
- In no event will Kaleidoscope Advertising & Design Inc., or any of it’s Suppliers be liable to [Client] for any damages whatsoever, including, without limitation, damages for loss of business profits, business interruption, loss of business information, lost savings or other incidental or consequential damages arising out of the use or inability to use the advertinsing and/or marketing materials developed.

Accounts:
- Accounts are considered to be engagements that may include multiple defined projects and consultations. These are typically defined with an Agency of Record agreement (AGR) that outlines the broad Scope of Work, budgets, responsibility, expectation, timelines, (between 1 and 3 years), fee structure and payment schedule (typically bi-weekly).
